Celebrity Squares 2011-2012 $50,000 Giveaway and Fast-Prize IX-XII Sweepstakes

Official Rules

1.     NO PURCHASE NECESSARY. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2.     Description of the Sweepstakes
(a)  These Official Rules ("Official Rules") govern two (2) distinct sweepstakes sponsored by Celebrity Squares LLC ("Sponsor", "we", or "us"): 1) The Celebrity Squares 2011-2012 $50,000 Giveaway (" CSQ 2011-2012 Sweepstakes"); and 2) the Fast-Prize IX, X, XI and XII Sweepstakes ("Fast-Prize Sweepstakes"). (The 2011-2012 Sweepstakes and Fast-Prize Sweepstakes are collectively referred to as the "Sweepstakes"). The Sweepstakes begin on April 1, 2011 at 12:00:01 AM ET and end on March 31, 2012 at 11:59:59 PM ET (the "Promotion Period").

(b)  The CSQ 2011-2012 Sweepstakes consists of one (1) promotion-end grand prize ("Grand Prize") random drawing (" Grand Prize Drawing") with a $50,000 cash prize.

(c)  The Fast Prize Sweepstakes consists of four (4) sets of drawings (each a "Drawing"), one for each Quarterly Promotion Period (as defined below). Each set of drawings consists of nine (9) separate Drawings, though we reserve the right to adjust the number of Drawings for each set. The entry dates (the entry period for each Fast Prize Drawing is referred to as the "Entry Period") and drawing dates and the prizes for each set of Drawings will be set forth in sequentially number Fast-Prize schedules (each a " Fast Prize Schedule"); the Fast-Prize Schedule for Fast-Prize IX is attached. The Fast-Prize Schedules for Fast-Prizes X, XI, and XII will be posted on the Celebrity Squares website at least 30 days prior to the Quarterly Promotion Period for each of the respective Fast-Prize Sweepstakes.

(d)  For purposes of these rules, a "Quarterly Promotion Period"  is defined as the three (3) month period beginning on one of April 1, 2011, July 1, 2011, October 1, 2011, or January 2012 at 12:00:01 AM ET and ending on June 30, 2011, September 30, 2011, December 31, 2011, or March 31, 2011, respectively, at 11:59:59 PM ET.

3.     Eligibility
The Sweepstakes are open to legal residents of the United States, the District of Columbia and Puerto Rico who are at least 13 years of age when they enter; 18 years old for Florida residents. Any entrant who is a minor in his/her state of residence may have to provide parental consent acceptable to us to participate in the Sweepstakes or be confirmed as a prize winner. Employees, officers and directors of Sponsor, SCA Promotions, Inc. (" SCA"), each of their legal representatives, and each of their respective affiliates, parents, subsidiaries, advertising, promotion, fulfillment and marketing agencies, their immediate families and/or those living in the same household of each are not eligible to enter the Sweepstakes.  By participating, entrant agrees to abide by these Official Rules and by our decisions and those of SCA, which are final and binding in all respects.

4.     How to Participate
(a)  Means of Entry.  There are two means of entering the CSQ 2011-2012 Sweepstakes and the Fast-Prize Sweepstakes (each an "Entry") which are described below: a "Mobile Entry" and a "Web Entry."

(b)   Mobile Entry.   A Mobile Entry is where a "Premium Member" (as that term is defined in the Celebrity Squares Member Terms which are available on CelebritySquares.com ("Website"); all defined terms not otherwise defined in these Rules shall have the same meaning as in the Member Terms) plays the Celebrity Squares game ("Game") via SMS text messaging (limit one (1) entry per Game round) or completes such other no-incremental-cost action as we may specify from time-to-time (i.e. answers a trivia question, fills in a personal profile, responds to our customer satisfaction survey, uses a new feature, etc.). Message and data rates may apply, in addition to any premium subscription rates.   All charges will be billed on your wireless phone bill or deducted from your prepaid balance.  The text messaging method of entry is currently designed to work with Alltel, AT&T Wireless, Nextel, Sprint, T-Mobile, Verizon Wireless and such other wireless carriers as Celebrity Squares may support at any given time. We make no guarantee that any particular wireless service provider will participate or continue to be a participating carrier. Entering by the Mobile Entry method will not improve your chance of winning.

(c)   Web Entry.   A Web Entry is where an individual registers as a no-cost "Basic Member" (as that term is defined in the Member Terms) and plays the Game on the Website (limit one (!) entry per Game per round) or completes such other no-incremental-cost action as we may specify from time-to-time (i.e. answers a trivia question, fills in a personal profile, responds to our customer satisfaction survey, uses a new feature, etc.).  Basic Members must also provide a "Grand Prize Key" (as defined below in Rule 4(d)) when they register as a Basic Member.  The Grand Prize Key will be used to determine if the Grand Prize has been won once a Grand Prize Finalist (as that term is defined below in Rule 5(b)) has been selected.  Limit one (1) Basic Membership per person and/or per email address.  

(d)   Grand Prize Key.  The "Grand Prize Key" is a two digit number in the range of 00 to 99 which is used to determine if an Entry selected for the Grand Prize Drawing has won the Grand Prize.   For a Premium Member, the Grand Prize Key is the last two digits of the mobile number used to register for a Premium Membership.  Basic Members must select a two-digit Grand Prize Key when they become a Basic Member and will also be required to provide a valid email address for notification purposes. Premium and Basic Members may view their Grand Prize Key on the "MyProfile" page of the Celebrity Squares Website. Once assigned, Grand Prize Keys may not be changed.  The Grand Prize Key will be used to determine if the Grand Prize has been won once a Grand Prize Finalist (as that term is defined below in Rule 5(b)) has been selected.

5.    Drawings: Selection of Winner
(a)  Fast-Prize Drawings.  Approximately four (4) days after the end of each Entry Period on or about the dates specified in the applicable Fast-Prize Schedule , SCA will randomly select  the prize winner(s) from all eligible entries received during the Entry Period.  The potential prize winner(s) will be notified by text message for Premium Members and email for Basic Members using contact information provided or collected at the time of entry.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason.  If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected.  Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed.  If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected.  The odds of winning depend on the number of eligible entries received.

IF YOU FAIL TO COMPLETE A MOBILE ENTRY OR A WEB ENTRY FOR A PARTICULAR FAST PRIZE DRAWING FOR ANY REASON WHATSOEVER, YOU WILL NOT BE ELIGIBLE TO PARITICPATE IN THAT FAST PRIIZE DRAWING. WE ARE NOT RESPONSIBLE FOR ANY ELECTRONIC, NETWORK, OR TECHNICAL FAILURE THAT KEEPS YOU FROM ENTERING A FAST PRIZE DRAWING.

(b)   Grand Prize Drawing.  SCA will randomly pre-select one (1) set of two (2) digit numbers from the range of 00 to 99 (the "Grand Prize Number") at the beginning of the Promotion Period.  On or about April 9, 2012, one (1) Entry (" Grand Prize Finalist") will be selected via a random drawing from among all eligible Entries received throughout the entire Promotion Period and all eligible entries received in connection with the Winzi First $50,000 Sweepstakes (the "Winzi Sweepstakes") throughout the entire promotion period of the Winzi Sweepstakes  which also ends on March 31, 2012.  For the Official Rules to the Winzi Sweepstakes, go to www.winzi.com after April 1, 2011.  If the Grand Prize Key of the Grand Prize Finalist matches the Grand Prize Number exactly and in order, that Grand Prize Finalist will win the Grand Prize, subject to verification of eligibility.  If the Grand Prize Key does not match the Grand Prize Number exactly and in order, there will be no winner of the Grand Prize. There is no guarantee that the Grand Prize will be awarded.  The Grand Prize Finalist will only be contacted if it is determined that he/she is the Grand Prize winner.

IF YOU FAIL TO COMPLETE A MOBILE ENTRY OR A WEB ENTRY FOR THE GRAND PRIZE DRAWING FOR ANY REASON WHATSOEVER, YOU WILL NOT BE ELIGIBLE TO PARITICPATE IN THE GRAND PRIZE DRAWING. WE ARE NOT RESPONSIBLE FOR ANY ELECTRONIC, NETWORK, OR TECHNICAL FAILURE THAT KEEPS YOU FROM ENTERING THE GRAND PRIZE DRAWING.

(c)  Odds of Winning.  Odds of winning a Fast Prize will depend on the number of eligible entries received during the applicable Entry Period.  Odds of being selected as the Grand Prize Finalist will depend on the number of eligible entries received during the entire Promotion Period from both the CSQ 2011-2012 Sweepstakes and the Winzi Sweepstakes. Odds of a Grand Prize Finalist having a matching Grand Prize Key and winning the Grand Prize are 1 in 100.

6.     Prizes
(a)  Grand Prize Sweepstakes Prize.  One $50,000 Grand Prize is available, payable in lump sum by check, with payment to be made within thirty (30) days of the winner signing an affidavit of eligibility and liability/publicity release. Winners must comply with these Official Rules to qualify for a prize.

(b)   Fast-Prize Sweepstakes Prizes.  The prize for each Fast-Prize and the number of prizes is set forth in the applicable Fast-Prize Schedule.  No cash alternative or prize substitutions will be allowed, except that we reserve the right to substitute a prize of comparable value if a prize listed is unavailable for any reason.  The approximate retail values ("ARV") of any prize is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Sweepstakes Rules and the date that the prize is awarded or redeemed.  If the actual purchase price of a prize is less than the stated ARV, the prize winner will NOT be entitled to a check, cash, or other form of payment for the price difference.  The prizes will be delivered only to addresses in the United States; provided, however, that certain gift card prizes may be delivered by e-mail address where applicable.  Gift card prizes are subject to the terms and conditions imposed by the gift card issuer.   Any registered marks associated with any prizes  are the registered trademarks of their respective owners.  The Sweepstakes is not affiliated with or endorsed by any of such owners.

(c)   Contacting Winners; Conditions Applicable to Prizes.  We will notify the potential Grand Prize winner and Fast-Prize Sweepstakes Winners by text messaging or e-mail, depending on whether a winner is a Basic Member or a Premium Member, using the contact information provided with registration of entry.  It is the sole responsibility of Basic Members and Premium Members to maintain the accuracy of their contact information.  Winners may be required to execute an affidavit of eligibility and a liability/publicity release, and for the Grand Prize, an IRS Form W-9, that must be returned within five (5) days from the date we first attempt to notify a winner (the five (5) day period after we first attempt to notify a potential winner is referred to as the "Notification Period").  If a winner is a minor, the winner's parent/legal guardian must sign any required documents on the minor winner's behalf.  If a potential winner cannot be contacted during the Notification Period or if the winner fails to sign and return the affidavit of eligibility and liability/publicity release by the end of the Notification Period, the potential winner may be disqualified and the Grand Prize may go unawarded.  Fast-Prize Sweepstakes winners who are Premium Members will be notified by text message; Basic Members will be notified by e-mail. The text message or e-mail, as the case may be, will contain a claim code which the winner shall enter on the Website at http://www.celebsquares.com/index.cfm/fuse/claimprize, along with their name, date of birth (for age verification), and shipping address.  We may, in our sole discretion, select a pool of alternates from the same pool of Fast Prize Sweepstakes Entries each time we conduct a Fast-Prize Drawing if an initial winner and/or any subsequent alternates fail to respond during the Notification Period or are disqualified in accordance with the notification procedure and deadlines specified above.  If there is a dispute regarding the individual who submitted the actual entry, the entry will be deemed submitted by the authorized account holder of the wireless account number supplied at the time of entry for Premium Members, or the authorized account holder of the e-mail address submitted at registration for Basic Members.  If a dispute cannot be resolved to our satisfaction, the affected entry will be deemed ineligible.  Prizes may not be substituted, assigned, or transferred, except with our permission. We reserve the right to substitute a prize with another prize of equal or greater value if the originally offered prize is no longer available.  Winner is responsible for all applicable federal, state and local taxes. We will report prize awards as required by applicable law.  We make no warranties, and disclaim any and all warranties, express or implied, concerning any prize(s) furnished by third parties in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

7.    General Conditions
We reserve the right, in our discretion, to cancel, suspend or modify the Sweepstakes if fraud, technical failures, or any other factor impairs the integrity of the Sweepstakes.  In such event, we reserve the right to award the remaining prizes in a random drawing from among all eligible entries received up to the time of the impairment in accordance with Rule 5 above throughout the Promotion Period.  We reserve the right to disqualify, in our discretion, any individual we find to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner or any attempt by an individual to sign up for more than one Basic Membership.  Any attempt by any person to deliberately damage our Website or undermine the legitimate operation of this Sweepstakes may be in violation of criminal and civil laws and, should such a violation be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or term. Proof of sending shall not be deemed to be proof of receipt by Sponsor.  Use of any automated program to enter the Sweepstakes will result in disqualification.

8.    Release
By accepting any prize, winner agrees to release and hold harmless SCA and us from and against any claim or cause of action arising out of participation in or in connection with the Sweepstakes or receipt or use of any prize.  Except in the State of Tennessee and where otherwise prohibited by law, acceptance of a Sweepstakes prize constitutes winner's consent to our use of winner's name, address, likeness, voice, and/or quotations for promotional purposes in any media outlet without further payment or consideration.

9.    Limitations of Liability
We and SCA shall not be responsible for: (a) incorrect or inaccurate entry information whether caused by internet errors, by any of the equipment or programming associated with or utilized in the Sweepstakes, or inaccurate transcription of entry information; (b) any technical human error or unauthorized human intervention which may occur in the processing of Sweepstakes entries of in the administration of the Sweepstakes; (c) any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries; (d) any injury or damage to persons or property, including to an entrant's computer, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or from downloading any material from our website, regardless of whether we or a third party prepared the material and regardless of whether the material is connected to our website by a hyperlink.

10. Disputes
The dispute provisions set forth in the Member Terms shall apply.

YOU AND WE ACKNOWLEDGE AND AGREE THAT, VIA YOUR ACCEPTANCE OF THIS DISPUTE SECTION, YOU WAIVE ANY RIGHT TO A JURY TRIAL, AS WELL AS YOUR RIGHT TO BRING, JOIN OR PARTICIPATE AS A PLAINTIFF OR A CLASS MEMBER IN A CLASS ACTION SUIT BROUGHT AGAINST US.

11. Data Collection
We collect personal information from the entrant when the entrant enters the Sweepstakes. The information collected is subject to our privacy policy located at www.celebritysquares.com/privacy.

12. Winner's List/Official Rules
Any legally required list of winners may be obtained by sending a letter via United States Postal Service addressed to: Celebrity Squares 2011-2012, c/o SCA Promotions, 3030 Lyndon B Johnson Frwy, Suite 300, Dallas, TX 75234.
